The Company Secretary (CS) is a professional course which is conducted by The Institute of Company Secretaries of India (ICSI). To become a Company Secretary, the candidates need to pass the Foundation Programme, Executive Programme, Professional Programme and certain trainings which is a part of becoming a member of Institute of Company Secretaries of India.

Role of CS


A Company Secretary acts as a compliance officer in a company. He can find employment in government accounts or law departments or he can become a Managing Director or Chairman of a Company and be a part of the Board of Directors of a Company. The role of a Company Secretary is that of an advisor for legal matters. All legalities involved with inter-corporate investments and loans are looked after by a Company Secretary. It is mandatory to appoint a Company Secretary in every company having paid up share capital of Rs. 5 crores or more.

Process to become a Company Secretary:

I..Examination Criteria

Stage 1: CS Foundation

Enroll with the ICSI for CS Foundation Course after passing class 12th examination. Students of Arts, Science or Commerce stream (Excluding Fine Arts). Cut off date for Foundation programme is 31st March for appearing in December exam in the same year and 30th Sep for June examination in the next year

A candidate has to score minimum 50 % aggregate and minimum 40 % in each subject to get through the exams.

Stage 2: CS Executive

Enroll with ICSI for CS Executive after passing CS Foundation exam. However direct entry to CS Executive can also be done if student is a graduate (any stream).

A candidate has to study for theory as well as practical subjects including Cost, Tax, Company Law and Economic and Commercial Law subjects in Group 1 an Capital Market, LAbour Law and Accounts in Group 2.

A candidate has to score minimum 50 % aggregate and minimum 40 % in each subject to get through the exams.

Stage 3: CS Professional

After passing both groups of CS Executive register for Professional course with ICSI .A candidate can give professional examination after a gap of at least nine months, he can appear for the examination of Professionals..

Candidate has to study nine papers including Law and Practical subjects and After passing professional, with at least 50 % in aggregate and 40 % in each subject.

Students can choose any of the following option for practical training
After Clearing Foundation programme 3 years
After Clearing Executive programme 2 years
After Clearing Professional programme 1 year


A CANDIDATE IS REQUIRED TO MANDATORILY UNDERGO 15 days training from the institute in the form of MSOP (Management Skilled Oriented Programme).Thereafter a candidate can apply for the membership of ICSI and become the member and can start working for the corporate sector or practicing side of the profession.
